1. Who we are

This site, wannatalkshop.com, and its checkout pages at pay.wannatalkshop.com are operated by Ellyndee LLC ("we," "us"). Let's Talk Shop is written by Nicole Davis, CPA, and published by Ellyndee LLC. By using the site, signing up for the guide or buying anything here, you agree to these Terms. If you don't agree, please don't use the site.

2. Who can use the site

The site and products are meant for adults (18+) using them for business purposes, mainly owners and staff of accounting and tax firms.

3. The free guide and our emails

When you sign up, we send you Let's Talk Shop: Tax and add you to our email list. If you tick a waitlist box, we'll also email you when that guide or the webinar is ready. Every email has an unsubscribe link, and you can leave whenever you like. How we handle your information is covered in our Privacy Policy.

4. The Template Pack

• Price and payment. The Template Pack costs $47 (USD). Payment is processed by Stripe through our email and commerce platform, Kit. We never see or store your full card number.
• Delivery. It's a digital download (an Excel workbook) delivered right after purchase on the confirmation page and by email.
• License. Buying the pack gives you a non-exclusive, non-transferable license to use and adapt it inside one firm. You may not resell it, share it outside your firm, post it publicly or repackage it as your own product.
• Refunds. Because it's an instant digital download, all sales are final. If your file didn't arrive or won't open, email us within 14 days of purchase and we'll make it right.

5. Readiness Calls and the Onsite Fix

The Tax Season Readiness Call and the Onsite Fix are available by request. Sending a request does not book a session or create an engagement. A session is confirmed only when we agree on a date, scope and price in writing and payment terms are met. If you bought the Template Pack, its $47 is credited toward a Readiness Call. Onsite work is quoted individually and covered by its own written agreement.

6. Not professional advice

Everything on this site, in the guide, in the Template Pack, in our emails and in any webinar is general educational information about running a firm. It is not legal, tax, accounting or other professional advice for your specific situation. Using the site, reading the guide or buying a product does not create an accountant-client or any other professional relationship with Nicole Davis, Ellyndee LLC or any firm affiliated with her. Any professional engagement requires a separate signed engagement letter. You are responsible for your own firm's decisions, compliance and client work.

7. Our content

The guide, the Template Pack, this site and the Let's Talk Shop name are owned by Nicole Davis and Ellyndee LLC and are protected by copyright and other laws. You're welcome to share a link to the site. Please don't copy, redistribute or sell our content beyond what these Terms allow.

8. Other services we use

We rely on outside providers to run the site and process orders, including Kit, Stripe and Netlify. Your use of their checkout or email features may also be covered by their terms. We aren't responsible for their services.

9. No warranties

The site and products are provided "as is." We work hard to make them useful, but we don't promise they'll fit every firm, be error-free or produce a particular result.

10. Limitation of liability

To the fullest extent the law allows, Ellyndee LLC and Nicole Davis are not liable for indirect, incidental, special or consequential damages, or lost profits, arising from your use of the site or products. Our total liability for any claim is limited to the amount you paid us for the product in question.

11. Changes

We may update these Terms from time to time. When we do, we'll change the effective date at the top. Continuing to use the site after an update means you accept the new Terms.

12. Governing law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Georgia.
